Public companies generally hold an AGM each calendar year and within five months of the end of the financial year, subject to exemptions or relief. Formal voting, proxies and checking who is entitled to vote make this the most demanding kind of meeting, so it’s planned with your company secretary from the start.

One register of voting entitlements

Your company secretary loads the register and approves the voting settings, weights and proxy rules before the meeting. Registering to watch never gives anyone a vote.

Online, in the room and by proxy

Shareholders vote online with a personal link or one-time code, or in the room after check-in. Each entitlement counts once on each resolution, whichever way it’s used.

Chair-controlled voting

The chair opens and closes voting on each resolution. Votes can be recorded or secret, and each result follows that resolution’s threshold.

Questions and records

Every shareholder question is kept and tracked to an answer. Results, attendance and the audit trail export for your minutes, and secret ballots stay secret.

Do you replace our share registry?+

No. Your share registry and company secretary remain responsible for the register and the conduct of the meeting. We load the entitlements you provide and run the broadcast and meeting tools.

Can shareholders appoint proxies?+

Yes. Proxies are recorded and checked against the rules your company secretary sets, including directed and undirected proxies and the lodgement deadline.

Who confirms the voting rules?+

Your company secretary and advisers, under your constitution and the Corporations Act 2001. The voting settings can’t be used until the secretary approves them.
